Welcome to ProxSocial ("Service"), operated by ProxCentral ("we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of the website https://social.proxcentral.com and the AI-powered social media management, scheduling, and automation platform.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

To access certain features, you must create an account. You agree to provide accurate, complete information and to keep your account details updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Subscription and Payment Terms

ProxSocial offers free and paid subscription plans (monthly, yearly, or lifetime where available). Paid features include AI content generation, URL shortener, team members, watermarking, premium support, and higher usage limits.

• Billing: Payments are processed via our third-party payment providers. You authorize us to charge your payment method on a recurring basis for the selected plan.
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months or unused features unless required by law.
• Price Changes: We may adjust pricing with notice. Continued use after a price change constitutes acceptance of the new price.

We reserve the right to modify, suspend, or terminate plans at our discretion.

3. License and Permitted Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal social media management purposes.

You may not:

• Reverse engineer, decompile, or attempt to derive the source code of the Service.
• Copy, modify, distribute, or create derivative works of the Service.
• Use the Service to develop a competing product or service.
• Access the Service via automated means (except through officially supported APIs or integrations you are authorized to use).
• Share your account login with unauthorized persons.

4. User Content and Social Media Connections

You retain ownership of the content you create, upload, or schedule through ProxSocial ("User Content"). By using the Service, you grant us a worldwide, royalty-free license to host, store, process, display, and transmit your User Content solely as necessary to provide the Service (including publishing to connected social platforms).

When you connect your social media accounts (Facebook, Instagram, TikTok, LinkedIn, X, Threads, Bluesky, YouTube Shorts, Pinterest, or others), you authorize us to access, post, and retrieve data (including analytics) on your behalf using the permissions you grant.

You are solely responsible for:

• Ensuring you have all necessary rights, licenses, and permissions for any content you schedule or publish.
• Complying with the terms of service of each connected social media platform.
• All activity and content posted through your account.

5. Acceptable Use Policy

You agree not to use the Service to:

• Post or schedule content that is illegal, harmful, abusive, defamatory, obscene, or violates any third-party rights.
• Engage in spam, bulk unsolicited posting, or actions that violate social platform anti-spam policies.
• Attempt to manipulate engagement metrics, use bots, or engage in inauthentic behavior.
• Transmit viruses, malware, or other harmful code.
• Overload or interfere with the Service's infrastructure.

We reserve the right to monitor content and remove or suspend accounts that violate this policy. For unlimited publishing plans, usage is subject to a Fair Use Policy designed to prevent abuse and ensure platform compliance.

6. AI Features

Our AI tools (caption generation, content suggestions, etc.) are provided "as is" for assistance only. AI-generated content may contain inaccuracies. You are fully responsible for reviewing, editing, and ensuring the accuracy and appropriateness of any AI-assisted content before publishing.

7. Intellectual Property

The Service, including all software, design, text, graphics, AI models, and underlying technology, is owned by ProxCentral or its licensors and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for breach of these Terms or for any other reason. Upon termination, your right to use the Service ceases immediately, and we may delete your account data (subject to our Privacy Policy and legal obligations).

You may terminate your account at any time. Paid subscriptions follow the cancellation rules above.

9. Disclaimers and "As Is" Provision

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. We do not guarantee uninterrupted access, error-free operation, or specific performance levels (except where a separate Service Level Agreement applies).

We are not responsible for:

• Any content you post or the consequences of publishing via connected platforms.
• Changes or downtime on third-party social media platforms.
• Losses resulting from your use of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, ProxCentral shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold ProxCentral, its officers, employees, and affiliates harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or any third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of South Africa. Any disputes shall be resolved exclusively in the courts of Johannesburg, Gauteng.

14. Severability and Waiver

If any provision of these Terms is found invalid, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver.
